Terms of Service
Please read these Terms of Service ("Terms") carefully before using the TaskGator application (the "Service") operated by TaskGator LLC ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
If you are using the Service on behalf of a college, university, or other organization that has a separate written agreement with TaskGator (an "Institutional Agreement"), then the terms of the Institutional Agreement will control and supersede any conflicting terms in these Terms of Service.
1. Service Description
TaskGator is a mobile application designed to help students organize their academic life by connecting to their Canvas™ Learning Management System account. The Service consolidates assignments, parses requirements using AI, tracks progress, and sends reminders to help users stay on top of their coursework.
2. Subscriptions and Payments
TaskGator is a paid service with a subscription-based model.
Subscription Plans:
Billing: Subscriptions are available on monthly or annual billing cycles. Payment will be charged to the payment method you provide at the time of purchase. Your subscription will automatically renew each billing period unless you cancel it at least 24 hours before the end of the current billing period. The annual subscription offers approximately 16% savings compared to monthly billing.
Price Changes: We reserve the right to modify our subscription fees at any time. We will provide you with reasonable prior notice of any price changes to give you an opportunity to cancel your subscription before such changes become effective.
3. User Accounts
To use the Service, you must create an account by providing an email address and authenticating through our system. You are responsible for safeguarding your account information and for any activities or actions that occur under your account. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of TaskGator LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TaskGator LLC.
5. User-Generated Content
While the current version of the App is primarily for the consumption of Canvas data, future updates may allow you to create or upload content ("User Content"). Should this functionality be added:
You retain ownership of any intellectual property rights that you hold in your User Content. By posting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and communicate such content for the sole purpose of operating, promoting, and improving the Service. You are solely responsible for the User Content you post.
6. Prohibited Conduct
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App.
- Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
- Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
7. Service Availability and Quality
Our Commitment to Service
TaskGator LLC is committed to providing a secure, reliable, and effective Service. To that end, we will use commercially reasonable efforts to:
- Maintain Security: Implement and maintain industry-standard administrative, physical, and technical safeguards to protect the security and confidentiality of the data you entrust to us.
- Ensure Availability: Keep the Service operational and available to users. However, like all cloud-based services, the Service may be subject to temporary unavailability for scheduled maintenance, emergency repairs, or due to circumstances beyond our reasonable control (such as failures of telecommunications links or equipment).
- Correct Errors: Address and correct critical errors or defects in the Service in a timely manner.
Disclaimer of Warranties
While we are committed to the high standards described above, the reality of technology is that no service can be perfect. Therefore, please be aware of the following:
Except for the express commitments to service quality stated above, the Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied.
This means that TaskGator LLC does not warrant that the results of using the Service will meet your specific, individual requirements or that the operation of the service will be entirely free of minor errors. Your use of the Service is at your own discretion and risk, and you are solely responsible for any decisions made based on its use.
8. Limitation of Liability
Limitation Notice: In no event shall TaskGator LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
9. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Mandatory Arbitration of Disputes: We each agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding.
You and TaskGator LLC agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms, and that you and TaskGator LLC are each waiving the right to a trial by jury or to participate in a class action.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
